Represents the legal department and leads the contract negotiation process for assigned commercial transactions.
Identifies and addresses risks inherent in commercial transactions.
Collaborates with other team members to ensure their feedback is appropriately reflected in the negotiated contract.
Facilitates the contract approval and signature process for assigned contracts.
Serves as a key point of contact for contract-related issues that arise before and after contract execution.
Supporting procurement, IT and non-clinical areas.
Major Responsibilities:
Works with internal clients to fully understand each proposed transaction and Aurora’s business objectives for that transaction; uses that understanding to identify key risks; negotiates and drafts agreements that effectively mitigate those risks and promote the achievement of Aurora’s business objectives.
Understands and implements legal department template agreements, best practices and standards; effectively translates Aurora positions into appropriate contract language; reviews and analyzes draft agreements and develops redlined responses; develops and communicates creative solutions for key negotiation points and issues.
Leads the contracting process; identifies internal stakeholders and ensures that those stakeholders are appropriately engaged; advises internal clients on contract-related risks and issues; keeps internal team members up-to-date on project status and issues; escalates issues for review and approval in accordance with department procedures.
Supports overall project timelines by completing responsibilities in a timely manner and proactively following up with others when their input or feedback is required; maintains detailed status reports on all negotiations for tracking and audit purposes.
Maintains high standards for contract documents; performs detailed review of all documents and addresses typographical errors, formatting errors, incorrect section and exhibit references, inappropriate use of capitalized terms and other common errors.
Accurately and concisely summarizes final contract documents and associated risks; routes contracts (with associated summaries) for review, approval and execution in accordance with department workflow and system policies; distributes signed contracts.
Works with internal clients to address and resolve questions and issues that may arise after contract execution.
Works with the Associate General Counsel, Commercial Transactions to prioritize workload and focus on high-value activities.
Practices effective and ethical negotiation practices; maintains a professional working relationship with the other party while protecting Aurora’s interests.
May also be responsible for other assigned administrative tasks such as managing the project intake process, distribution of new projects, and calculation and reporting of group metrics.
Licensure, Registration, and/or Certification Required:

Education Required:
Bachelor's Degree in Business or related field.
Experience Required:
Typically requires 5 years of experience in contract negotiations.
Knowledge, Skills & Abilities Required:
Solid understanding of contract negotiation processes and ability to identify and address risks in that process.
Excellent writing skills and attention to detail; ability to identify errors, including typographical and incorrect references.
Exceptional organizational and time management skills; ability to simultaneously manage multiple priorities and flexible in adjusting work schedule on short notice.
Proactive; persists and finishes projects despite obstacles.
Excellent analytical, interpersonal and communication skills with capability to building strong internal networks.
Ability to provide clear and concise explanations of complex issues; focus on joint problem-solving with cross-functional business, technical, and commercial stakeholders.

Ability to operate a PC and Microsoft Office products.
